EDITOR’S ANALYSIS: Almost every day we see another indictment of those who ‘defrauded the banks” with dozens or even hundreds of toxic, non-existent, or defective loans. This article references the latest of them and involves mortgage brokers, lawyers, disbarred lawyers etc. The actual masterminds who knew that these fraudulent schemes would be utilized have not been indicted and maybe never will be indicted although I hope that some Attorney General (Coakley in Massachusetts?) will have the nerve to nail them.

Wall Street didn’t care about fraud. In fact it wanted it and needed it. They just wanted a layer of plausible deniability between them and the people who were doing it. But in Florida alone, out of the many thousands of new mortgage brokers who were licensed during the mortgage mania, 10,000 (not a misprint) were convicted felons most of whom were involved in prior economic fraud. Wall Street wanted fraud and it went to those who knew how to commit it.

But they ran out of actual criminals to perform the fraud because their volume and need was so great. So they made it clear that fraudsters had a holiday from any bank investigation, and in so doing they got thousands more homeowners signatures. But that wasn’t enough either. So they engineered a system of straw-men in which “bankruptcy remote” vehicles (entities) were used to front the loans from Wall Street without telling the borrower what was going on.

No information to the borrower as to who the real lender was and certainly no information to the borrower about the gigantic fees that were being collected contemporaneously with each borrower signature that was affixed to a false piece of work called a “note” and an even more false document they called a “mortgage” or “deed of trust.”

What the media is still not picking up even though it is right in front of their face, is that these fraudsters were merely channels for the larger fraud committed on Wall Street. The fact that fraudulent channels were spawned and utilized is providing some cover to Wall Street, but as the truth be known, very little as time goes on.

Let these words not be construed as sanctifying fraud on any level. It is here that I indict Wall Street for the same crimes named in the indictments contained in the above article and hundreds of others. There never would have been such fraud if Wall Street was doing what it ordinarily does best — due diligence, in which it examines every deal like my grandmother used to inspect a chicken before buying.

The Banks and Wall Street Investment Banking Firms (now called “Banks” for some inexplicable reason) stopped due diligence, eliminated underwriting, and simply put the peddle to the metal on moving the money through the system — because when money moves, Wall Street makes money. They were inviting fraud, even insisting on it. The appraisals were all coming in, mysteriously, at $15k-$20k above contract price. The number of occasions in which appraisals failed to meet the contract price dropped to zero. Any appraiser who refused to play the game was blackballed from getting business.

They were never after loans, much less good loans. They were after signatures from hapless borrowers who, as usual, could not possibly explain or understand the mountain of documents in front of them and the mumbo jumbo given to them by the mortgage broker explaining how they needed to do this deal because housing prices, rental prices and everything else was going higher by the month and would continue to do so indefinitely, or so they said. It was all a lie — one which Wall Street invented and everyone else repeated. Told often enough even the most stupid lie becomes perceived as truth.

Why does this matter? It’s about the basic documents forming the foundation of each mortgage transaction. The note and mortgage are fatally defective in virtually all transactions in which the obligation was treated as though it was securitized. While it is helpful to know the name of the SPV or Trust that claims ownership of the loan, it is more important to understand that the SPV or Trust does NOT own the loan even though it claims to have the goods. They don’t.

Starting with the note, the payee is not the party to whom the money is owed, although the payor (homeowner) doesn’t know that. The terms of repayment to the real payee on the obligation are subject to documents that are very different from the note and include multiple third parties, many of whom must pay the payments or the principal due on the obligation without regard to actual default by the homeowner. The homeowner doesn’t know that either.

And the funding of the loan, coming from an undisclosed third party in a classic table-funded transaction (“predatory per se” according to TILA regulations) comes from a slush fund from which the funding of the loan is only a cover for the tremendous fees and profits taken out of the money that investors advanced.

In some cases, as we have shown on these pages, the fees were greater than the loan. That also is not a misprint. Yes, a $300,000 “loan” could actually generate as much as $600,000 in fees and profits, and most of the time DID generate fees and profits that were far in excess of industry norms at a second level of yield spread premium that regulators and prosecutors have still failed to investigate and understand. Who cares if the the loan is repaid? Nobody except the investor/lender from whom $1 million was taken to fund the $300,000 loan.

AND the investor/lender is boxed in: they can’t sue the homeowner for the loan without adopting all the fraudulent and predatory loan tactics sued to procure the signature of the borrower and the liability for affirmative defenses and counterclaims — all on property which when the truth was told, was worth a fraction of what was represented at closing.

This created a void. The creditor (investor) didn’t want to get involved in enforcement. The obligation was till out there. The temptation was irresistible. The Banks simply pretender they were the lenders, and made outrageous unsupportable claims, backed by forged fabricated documents knowing that nobody would think they would risk 150 year old reputations. The Banks were right. The risk was minimal, and the indictments are all aimed as the small fry who were just the street pushers in the larger drug cartels where the actual principals are people we recognize as heads of state, legislators, judges, and prosecutors.

The one thing they didn’t think through was the effect on title. We are now being crushed under a mountain (80 million plus) of real estate transactions that contain fatal defects in title because the wrong party took the payoff for the last loan and signed a satisfaction or reconveyance. The wrong party took title at a fatally defective auction of homes in fraudulent  foreclosures.

Marketable title is being redefined by Wall Street as an emergency move to shore up this gaping hole left by their scheme. But nobody is buying what Wall Street is selling — title companies, the ultimate arbiter of title, now refuse to issue title insurance without an exception for any claim arising out of a securitized loan.

All roads lead back to the original transaction, which was fatally defective at the start. The note neither described the payee nor the terms. The mortgage merely pretended to secure a fictitious transaction described in the note, and the obligation of the homeowner to the investor is being replaced by the obligation of the investment banks to the investors for selling bogus mortgage bonds based upon non-existent pools with non-existent assets.

Thus more than 80 million real estate transactions have fatal defects in the chain of title, regardless of whether the “Securitized” loan is shown as paid off, regardless of whether the borrower is or did make all the payments required. The title to these properties is only now being recognized as unmarketable, because it only comes out when the current owner tries to sell or refinance the property. Yes it should have been revealed before this, but that takes nothing away from the fact that the defect is there and that it is incurable. Millions of people are sinking their money into homes they don’t legally own.

  4. @carie – the key to your argument as stated is that the loan (presumably the original one) was written off. I am no expert at all about written off debt, which is problematic for me because I dont’ know how collection rights could exist to sell or transfer debt for which an election of remedy has been made – the write off. Maybe it is as you surmise that if they sell or assign nonetheless, they have to restate tax wise any dough they realize when it’s realized (which you and I agree they wouldn’t). But, assuming the loan were written off, and by your reckoning by way of a false default, and they then sell the debt, anyway (and we’re talking sub-prime, right?) and that debt, written off but nonetheless sold, and now only a collection right (but I dont see a collection right in the first place and that may be due to my limited understanding of written off debt), gets rolled into – wrapped – into the new note and dot at face value, why, yes, that’s some kind of crap and I’d call it fraud. The original lender (or someone) takes the write down, cleans up its books, and the new guy falsely restates the written down debt at its ‘old’ full face value mol in the new note. I think it’s bs even if the old guy ever does claim any ‘recovery’. I can see how this scam would work without securitization, but one problem here for me is that abc, who is the servicer? depositor? must answer to someone theoretically if not literally for the defaulted loan. The payments on that falsely defaulted loan are owed to the certificate holders and since no one went after the collateral, those payments must still be made. (This raises other questions.) Or are you saying they tell the certificate holders what? We did not go after the collateral and we aren’t paying you, either?
    You are saying the loan is falsely defaulted, someone takes the write off, that same someone (I suppose) sells (or assigns) the now unsecured written off debt (which event you call a sale or assignment of collection rights), the written off debt is nonetheless restated by that buyer or assignee in the new note and dot at face value and then ‘sold into securitization’. Your argument is further that there is no collateral for the note. That is certainly true as to the portion of the new note which did not involve new funds and make the whole thing a scam and fraudulent imo. I’m sure there’s more, but unwinding this presents a real challenge to me and it’s as far as my brain will go just now. But I can recognize that your argument denies the existance of a participation agreement in favor of a false default.

    You said the depositor is the creditor to the collection rights. I take it you mean the depositor for the sec. trust. I agree someone other than the investors has any collection rights – on any ‘securitized’ loan. The investors have a right to payments when made. This is messed. I’m just not sure anyone in this deal actually has collection rights on any of these securitized loans, at least not without some kind of joinder. Crazy? Maybe. It’s hard, at least for me, not to get lost in all this stuff. This site is great, but we run from here to there and back routinely, so what seemed crystal clear one day gets lost the next.

    Once a loan is written-off/charged off — that loan can no longer be paid by borrower (unless original creditor does reverse accounting entry — which they do not).
    Collection rights do not have to be “funded” — they are simply a right to collection transferred by assignment — not a “NOTE”. However, all was presented to borrowers has a new NOTE/loan. This is why no notes were never validly sold to trusts — there was no Note to a mortgage to transfer!!
    Again, only talking about the subprime/alt-a “loans.”
    Every single one of these bogus mortgages should be discharged.”

  8. Mr. G – you said the investor, the ‘creditor’, doesnt’ want to get involved with collection. Well, I don’t agree fwiw and to start. The certificate owners are not the creditor. They only have the right to the payment stream, which in and of itself does not make them the creditor in this securitization mess. I haven’t been privy to enough psa’s to know just who the hey is supposed to be. Who the heck is when one party actually owns a note while another owns the payments but has no collection rights of its own. Now throw in the UCC. I really am wondering if these notes remain negotiable instruments at all given their treatment in securitization. I am trying, also, to determine if the doctrine of privity would apply here to what are alleged to be negotiable instruments. Normally, it probably does not apply to notes which are negotiable instruments, but this whole deal is not normal. I don’t think the UCC contemplates notes which appear imo themselves to be mol ‘bifurcated’.

    Is this one of the reasons "whoever" is the beneficial owner or "incidental interested party" of the loan (like a loan servicer) conducts themselves as if they have "deep pockets" to incur the legal costs of foreclosure (and responding to active foreclosure defenses)?… Is it that they already have received a multiple of the loan amount and can afford to "pay the attorneys"?

    Is their additional greed based soley on their desire to get "what's left on the table"… the remaining "meat on the bone," … a desire to obtain any benefits associated with causing the homeowner to vacate the premises?

    If they succeed in "chasing away the squatter," do they intend to "quiet title" and "hide the scam thereby"?

    Dear Attorney General DeWine,

    Thank you for your August 1st e-mail answer. I am afraid, however, that it completely fails to clarify your intentions with respect to the horrendous bank and mortgage fraud committed on this country and your plan of action toward redress, on behalf of the Ohioan people. It is, in fact, so vague that a believer in our American Constitution and sense of justice would feel as justifiably insulted by it as I was. Mr. DeWine: I chose America as my country of adoption and Ohio and my adoptive state. I sincerely hope that neither was a mistake. To a large extent, you have the ability to help me decide how and where I wish my taxes to be spent. You also have the ability to make Ohioans decide how long you will remain in office. Please, do not make us regret our choice.

    Recently, we have read or heard about your efforts toward curtailing Medicaid and Medicare fraud and it is my understanding that your office was able to prosecute a number of individuals and recover over 103 million dollars since taking office. While I congratulate you for it, I am also deeply concerned that your efforts are completely misdirected and amount to little more than a drop in a bucket in today’s economic climate. Mr. DeWine, and with all due respect, Medicaid and Medicare frauds have existed since the implementation of both programs, decades ago. While I do not condone fraud in any shape or form, neither has, to my knowledge, ever brought our country down to its knees as a whole nor caused people to lose jobs, houses, hope and, all too often in the past years, their lives. Neither has ever caused the level of hunger and homelessness recorded in this country since 2006 and… neither has ever resulted in the biggest economic crisis since 1929. Neither has ever caused the dramatic increase in violent crimes we have seen in the past years in Columbus, Cleveland, Cincinnati and other large cities. Neither has ever left people as exposed and destitute.

    As everyone of us, you have read that Attorneys Generals Schneiderman (NY), Harris (CA), Coakley (MA) and a few others have taken a strong stand against the banks, who literally destroyed the entire fabric of our country and of our financial systems and are at the origin of the enormous debt our children and grand children will have to carry and repay for decades to come. When you took office a year ago, we, Ohioans seriously victimized by mortgage banks and servicers abuses (6th state most affected by mortgage fraud and foreclosures), hoped and dreamed that you would follow Richard Cordray’s footsteps and tackle, heads on, the problem with the same crusading spirit as your predecessor and current counterparts. Yet, you have remained remarkably silent on the issue… I cannot find any media article in which you even broached it and I find it extremely worrisome. You e-mail answer to my inquiry remained extremely vague and non-committal as to your investigation and prosecution efforts.

    It has become patently obvious to me, in view of your year-long track record and the lack of any mention on your part of the foreclosure and mortgage crisis, that you do not consider it as the primary –and possibly the exclusive- origin of America’s current financial crisis. Under the circumstances, you make it very difficult for Ohioans not to question your motives and your sincerity.
    Mr. DeWine, America’s is owed over 7 trillion by banks and mortgage servicers in the form of federal, state and county revenues. 7 trillion! I have yet to find statistics and hard numbers concerning the damages caused to Ohio but I would be willing to venture that they exceed 103 millions by a factor of 10, if not even 100.

    As your constituent, I ask that you publicly join the ranks of the above named Attorney General and make the commitment to all Ohioans to investigate and prosecute bank fraud and illegal foreclosures in our state with as much dedication and vigor as Mr. Cordray displayed during. The urgency of the situation demands that you cross party lines, ignore special interests of the large banks settled in our state and fight, purely in the name of justice for all. Now is the time for drastic and unyielding action.

    It is my understanding that AGs of all 50 states are currently negotiating a settlement with the banks responsible for the economic crisis through breach of law, fraud, irresponsible lending, misrepresentations, etc. all punishable by law.
    It is also my understanding that the 20 billion mentioned for the past weeks would be subject to immunity and that legal pursuits would not be undertaken against the culpits.
    This is absolutely unacceptable. As a homeowner who was conned into a refinancing by unscrupulous lenders and who suffered for the past three years with fraudulent fees, threats of foreclosure, violation after violation of legal statutes by the servicer, I can attest that 3 years of my life were stolen by the bank.
    Mr. DeVine, I understand that your political career is important to you. Please understand that, without people to elect you, your political career will not survive. You were elcted to defend Ohioans from the abused they were subjected to and to redress the many wrongs committed. I intend to see public servants I elect fulfill their mandate and comply with the description of the position.
    Please do not, under any circumstance, allow a 20 billion settlement (largely insufficient to redress all the wrons mentionned above) be conditional to immunity of banks officers and directors who spent the greater part of the past 15 years enriching themselves at the expense of our middle-class and literally destroyed our contry.

    I’m asking you (or Neil or anonymous) to hit me squarely over the head on the collection rights puchases and why they were portrayed as mortgage refi’s ,,, I must be real thick ,, It just isn’t clicking for me yet … it’s clear on AHMSI / Sand Canyon but I’m hazy on most of it unless you’re just referring to the bottom feeder debt collectors that bought deep discount (failed) paper… and are portraying the debts as validly enforceable and secured.

    The state’s highest court has ruled that people fighting eviction from homes they lost to foreclosure can challenge the validity of a property seizure in housing court after the fact, a decision advocates for homeowners’ rights are calling a major victory.
    The Massachusetts Supreme Judicial Court’s unanimous ruling, released today, involved KC Bailey, a Mattapan man whose home was taken back by the lender through foreclosure. In 2009, Bailey contested his eviction during a housing court proceeding, saying the foreclosure process itself was flawed.

    In court, Bailey claimed he only learned of the 2007 foreclosure when he found an eviction notice taped to a fence surrounding his property. He refused to leave the house on the grounds he was not given proper notice of the sale.

    Bank of New York, which wanted to evict Bailey, argued that the housing court didn’t have the authority to consider a challenge to a foreclosure that had already been finalized, and the judge agreed. Bailey appealed and the Supreme Judicial Court decided to take the case. As a result of its ruling, the case now goes back to housing court.

    “We conclude that the housing court has jurisdiction to consider the validity of the plaintiff’s title as a defense to a summary process action after a foreclosure sale,’’ the court ruled in a decision written by Justice Fernande R.V. Duffly.

    Local housing advocates said the ruling provides a boost for troubled homeowners because it means lenders must prove they have a clear title to a home before evicting its occupants.

    “It’s a big win because the banks have been saying once they foreclose they can evict people and there is no right to challenge the underlying foreclosure,’’ said Nadine Cohen, a managing attorney with Greater Boston Legal Services, which submitted to the court a brief in support of Bailey.

    The attorney representing Bank of New York could not immediately be reached for comment.

    The state attorney general orders the bank to answer questions about how it sold and marketed the securities in the Golden State.

    California Atty. Gen. Kamala D. Harris has subpoenaed Citigroup Inc. and its banking subsidiary, Citibank, ordering the two entities to answer questions regarding the selling and marketing of mortgage-backed securities in the Golden State, a person familiar with the investigation said.

    The person, who was not authorized to speak publicly about the matter and spoke on condition of anonymity, would not further characterize the nature of the investigation. Spokespeople for the attorney general’s office and Citi declined to comment.

    In May, Harris announced the creation of a Mortgage Fraud Strike Force that would target mortgage fraud of any size. Harris said then that she would tackle corporate fraud, including instances in which bundled mortgages were sold as securities to the state or its pension funds under false pretenses. To prosecute some of the cases, Harris said she would use California’s False Claims Act, which makes it a crime to defraud the state.

    The probe comes at the same time as several other investigations into the practices of other large banks.

    New York and Delaware have more than a dozen attorneys working full time on a wide-ranging investigation into Wall Street’s role in the mortgage meltdown. Those investigators have subpoenaed or requested information from 13 financial firms, including Goldman Sachs Group Inc. and JPMorgan Chase & Co. Citi is not a focus of that probe.

    Citi is one of five large banks negotiating with a committee of all 50 state attorneys general probing banks’ servicing and foreclosure practices. Those negotiations are still underway.

I provided all my documents with all evidence of deceptive acts. He reviewed my documents and said I had a case. Unfortunately, former attorney did absolutely nothing to the case. Servicer (Aurora Loan services) & Substitute Trustee Draper & Goldberg took my home and gave it to Fannie Mae. I was making payments to the former attorney when my property was bounced around. Worst of all, former attorney was not liscensed to practice in the state of Virginia. On Feb. 2011, I filed a complaint with the Washington D.C. Bar Association. On 4/27/2011 former attorney TEMPORARY DISBARRED. Another hearing will be coming up in Sept.2011 for permanent disbarred. Former attorney refuses to return all my documents. Bar Association sent a subpeona to return all my documents and still he did not respond. Please be aware of this attorney. He has been disbarred in other states Atanta, Georgia, Texas & Washington D.C.

    Thanks to you and more than 6,000 fellow Floridians, Attorney General Pam Bondi announced yesterday that there would be an outside investigation of the firing of foreclosure fraud attorneys June Clarkson and Theresa Edwards.

    With news coverage about your petition in the St. Petersburg Times, Miami Herald, Tampa Tribune, Florida Today, WMNF-FM and elsewhere, you helped generate significant pressure on Attorney General Bondi to act. Without your petitions, it’s unclear whether or not Bondi would have ever appointed an outside investigator.

    We will remain vigilant in ensuring that this investigation is truly independent of Pam Bondi’s office and entirely removed from potential political or outside influence.

    The Florida Office of Attorney General is on the front lines in the never ending effort to protect Floridians from scam artists, fraudsters and corporate criminals.
